1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and SynthVault Inc. ("SynthVault," "we," "us," or "our"), a corporation incorporated under the laws of Canada with business number BN 847291635BC0001 and registered office at 595 Burrard Street, Suite 2100, Vancouver, BC V7X 1L3.
By accessing synthvault.pro, submitting a contact enquiry, or using the SynthVault platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, you must not use our website or platform.
Enterprise clients may be subject to additional terms in a master services agreement ("MSA") that supplements or supersedes certain provisions of these Terms. In the event of conflict between these Terms and an executed MSA, the MSA prevails.
2. Description of Services
SynthVault provides a secure AI model vault platform that enables organisations to store, govern, version, and deploy machine learning assets including model weights, datasets, prompt libraries, evaluation suites, and deployment manifests. Our services include cloud-hosted and self-hosted vault deployments, professional services for integration and onboarding, and structured programs for vault governance.
SynthVault is a technology infrastructure provider. We are not a marketing agency, advertising platform, creative services firm, or AI model development consultancy. We do not offer advertising, branding, content marketing, lead generation, or promotional services. Our sole focus is secure vault infrastructure and governance for AI model assets.
3. Eligibility
You must be at least eighteen years of age and capable of forming a binding contract to use our services. Platform access is intended for business and professional use by organisations deploying machine learning systems. By using our services, you represent that you meet these eligibility requirements.
4. Accounts and Access
Platform users must register for an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach involving your account.
SynthVault reserves the right to suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for extended periods as defined in applicable service agreements.
5. Acceptable Use
You agree not to use the SynthVault platform or website to:
- Store, transmit, or process content that violates applicable law or third-party rights
- Attempt to gain unauthorised access to vault instances, other user accounts, or SynthVault infrastructure
- Interfere with or disrupt the integrity or performance of the platform
- Reverse engineer, decompile, or disassemble platform software except as permitted by law
- Use the platform to develop competing vault or model governance products
- Upload malicious code, malware, or content designed to compromise platform security
- Misrepresent your identity or affiliation with any person or organisation
Violation of acceptable use policies may result in immediate account suspension and reporting to appropriate authorities.
6. Intellectual Property
SynthVault retains all rights, title, and interest in the platform software, documentation, trademarks, and proprietary technology. Nothing in these Terms grants you ownership of SynthVault intellectual property.
You retain all rights to AI model assets, datasets, and content you upload to the vault ("Client Content"). By uploading Client Content, you grant SynthVault a limited licence to store, process, and transmit that content solely for the purpose of providing vault services as described in your service agreement.
7. AI Outcomes Disclaimer
IMPORTANT: SynthVault provides secure storage and governance infrastructure for AI model assets. We do not develop, train, fine-tune, or validate machine learning models on behalf of clients. We make no representations, warranties, or guarantees regarding:
- The accuracy, reliability, or fairness of AI models stored in or deployed through the vault
- Business outcomes, revenue impact, or operational improvements resulting from AI system deployment
- Compliance of AI model outputs with applicable regulations, industry standards, or ethical guidelines
- Prediction quality, recall, precision, or any other performance metric of vault-stored models
All responsibility for AI model development, validation, monitoring, and the consequences of AI system outputs rests solely with the client organisation and its data science teams. SynthVault's role is limited to providing the vault infrastructure within which those models are stored and governed.
8. Security Disclaimer
SynthVault implements industry-standard security controls including encryption, access logging, and regular security assessments. However, we explicitly disclaim any guarantee of zero security breaches, unauthorised access, or data loss. No technology platform can provide absolute security assurance.
Clients acknowledge that security risks exist in any electronic system and agree that SynthVault's liability for security incidents is limited as described in Section 10. Clients are responsible for configuring appropriate access controls, maintaining credential security, and following vault governance best practices within their organisation.
9. Warranties and Disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN AN APPLICABLE MSA, THE SYNTHVAULT PLATFORM AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SYNTHVAULT DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components. We do not warrant that defects will be corrected within any specific timeframe unless covered by an applicable service level agreement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTHVAULT'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SYNTHVAULT IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
IN NO EVENT SHALL SYNTHVAULT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SYNTHVAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations apply except where prohibited by law. Some jurisdictions do not allow limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless SynthVault, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your Client Content, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate the relationship governed by these Terms in accordance with applicable service agreements. SynthVault may suspend or terminate access immediately for violations of these Terms or acceptable use policies. Upon termination, your right to access the platform ceases, and we will handle Client Content in accordance with your MSA data retention and export provisions.
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
13. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
